AB Lietuvos Dujos shareholders at their Annual General Meeting of 23 April 2012 approved the Company's activity results of the year 2011. Compared to 2010, the consolidated audited sales revenue of AB Lietuvos Dujos increased by 5.3% and amounted to LTL 1,840.0 million* (2010: LTL 1,746.8 million). The revenue growth was determined by the higher revenue from the supply activity. The revenue from the transportation activity remained at the level of 2010, of which the revenue from gas transit showed a significant increase. The consolidated pre-tax profit of AB Lietuvos Dujos decreased from LTL 148.9 million in 2010 to LTL 104.3 million in 2011. The decrease in profit was mainly impacted by the results of the regulated transportation activity. The EBITDA of 2011 declined accordingly by LTL 31.3 million and amounted to LTL 213.9 million, whereas, in 2010 it totalled LTL 245.2 million. In 2011, the consolidated audited net profit of AB Lietuvos Dujos decreased by LTL 63.7 million, or 39.9% and amounted to LTL 95.8 million (2010: LTL 159.5 million).

The shareholders of AB Lietuvos Dujos decided for the year 2011 to pay out dividends in amount of LTL 72.0 million or 15.3 Lithuanian centas per share. Dividends disbursed for the year 2010 amounted to LTL 120.0 million, or 25.6 Lithuanian centas per share.

We would like to draw the attention of the shareholders to the fact that from 4 April 2012 AB Lietuvos Dujos securities accounts are managed and dividends to minority shareholders of AB Lietuvos Dujos are disbursed by AB SEB Bankas. Before that date the aforesaid services used to be provided to the Company by AB FMI Finasta. AB Lietuvos Dujos shareholders, whose securities accounts under the Company's (the Issuer's) power of attorney are managed by AB SEB Bankas, in order to receive their dividends, have to contact any branch of AB SEB Bankas and indicate the details of their bank accounts to which the dividends are to be transferred. In case a shareholder already has an account at AB SEB Bankas, it is not necessary to go to the bank.

The Company's shareholders elected UAB Ernst & Young Baltic as an audit company for the performance of audit of the AB Lietuvos Dujos financial statements as of 31 December 2012 and related statements.

When presenting the results of the year 2011, the Company's executives noted that AB Lietuvos Dujos was one of the largest tax payers in Lithuania. According to data supplied by the State Tax Inspectorate, in 2011 AB Lietuvos Dujos was Lithuania's fourth largest tax payer. During the last 5 years, the Company paid a total of LTL 1.7 billion in taxes to the state and municipal budgets and the Social Insurance Fund (Sodra), including LTL 56 million disbursed as dividends to the state, which holds a 17.7% stake. For the year 2011, the dividend amount to be paid to the state will amount to LTL 12.7 million.

"In 2011, the investments were significantly lower in year-on-year terms, since the year 2010 saw the completion of the implementation of a few major transmission system investment projects. However the year 2012 promises to be intense again, as it will see the continuation of the implementation of the project included into the Lithuanian National Energy Strategy Plan - the construction of the Sakiai-Klaipeda gas pipeline.
